Acceptance of these Terms
These Terms & Conditions (“Terms”) form an agreement between you and HR360 regarding use of the HR360 website and website-based services. If you do not agree, do not use the website or submit information through it. Mandatory statutory rights that cannot lawfully be waived remain unaffected.
Nature of HR360 services
HR360 may provide talent acquisition, executive search, contract staffing, recruitment process outsourcing, HR consulting, learning and development and related workforce solutions. Website descriptions are general information and do not themselves create a binding obligation to provide any particular service, candidate, vacancy, timeline, result or commercial term.
A binding commercial engagement may require a separately accepted proposal, statement of work, work order, service agreement or other written confirmation.
Eligibility and authority
You must have legal capacity to use the website and to provide any information you submit. If you use the website for an organisation, you represent that you are authorised to act for that organisation in relation to the information or request you submit.
Candidate terms
Candidates are responsible for ensuring that resumes, qualifications, experience, compensation information, references and other representations supplied to HR360 are accurate and not misleading. You authorise HR360 to process your application and communicate with you in accordance with our Privacy Policy and applicable law.
Registration, application, interview coordination or introduction by HR360 does not guarantee employment, an interview, selection, compensation level, duration of employment, immigration/visa outcome or any other result. Final hiring decisions and employment terms are ordinarily determined by the relevant employer.
You should independently review any employment offer, employer policies and contractual terms before accepting them.
Employer and client responsibilities
Employers/clients are responsible for providing lawful, accurate and non-misleading vacancy and organisation information; complying with employment, labour, equal opportunity, wage, immigration, workplace, privacy and other applicable laws; making their own final hiring decisions; and using candidate information only for authorised recruitment or employment purposes.
Unless separately agreed in writing, HR360 does not warrant a candidate’s future performance, continued availability or retention. Any replacement, refund, credit or guarantee arrangement applies only if expressly stated in the applicable written commercial agreement.
Website information and availability
We aim to keep website information useful and current, but vacancies, candidate availability, service descriptions, market information and other content may change without notice. We do not warrant that every item is complete, current or error-free at all times. HR360 may modify, withdraw or restrict website features when reasonably necessary.
Prohibited use
You must not use the website to violate law or third-party rights; submit false, fraudulent, discriminatory, defamatory or unlawful material; impersonate another person; scrape, harvest or systematically extract website or candidate data without written permission; introduce malware or harmful code; probe or bypass security; interfere with website operation; send unsolicited bulk communications; misuse confidential candidate/client information; reverse engineer protected website components except where law expressly permits; or use HR360 content or systems to build an unauthorised competing database or service.
Intellectual property
Unless otherwise stated, the website design, HR360 branding, text, graphics, layout, original content and related intellectual property are owned by or licensed to HR360 and protected by applicable law. You may view and use the website for legitimate personal or internal business purposes. No ownership rights are transferred to you. Reproduction, republication, commercial exploitation, modification or distribution beyond legally permitted use requires prior authorisation from the relevant rights holder.
Third-party links and services
The website may contain links or integrations operated by third parties. They are provided for convenience and do not automatically constitute endorsement. HR360 does not control independent third-party sites, their availability, content, security or terms. Your use of those services is governed by their own terms and policies.
Fees, taxes and commercial terms
Any professional fees, placement fees, staffing charges, payment schedules, taxes, replacement terms, refunds, credits or cancellation rights relating to paid HR360 services will be governed by the applicable written quotation, proposal, invoice, work order or service agreement. Website content does not override those agreed commercial terms.
Disclaimers
To the maximum extent permitted by applicable law, the website and general website content are provided on an “as available” basis. HR360 does not make an absolute warranty that the website will be uninterrupted, completely secure, free of all errors or compatible with every device or system.
General articles, insights and website materials are informational and are not legal, tax, financial or other regulated professional advice. You should obtain appropriate specialist advice for decisions requiring it.
Nothing in these Terms excludes a warranty, duty or remedy that cannot lawfully be excluded.
Limitation of liability
To the maximum extent permitted by law, HR360 will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss arising solely from use of, inability to use, or reliance on the general website, including loss of opportunity, profit, goodwill or data, where such exclusion is legally permitted.
Any liability arising from separately contracted paid services is subject to the allocation of risk and any liability provisions in the applicable signed commercial agreement. Nothing in these Terms limits liability that cannot legally be limited or excluded, including liability where applicable law prohibits such limitation.
Responsibility for misuse and indemnity
To the extent permitted by law, you are responsible for losses arising from your unlawful use of the website, material breach of these Terms, infringement of third-party rights, or information you submit without authority. Where legally enforceable, you agree to indemnify HR360 against third-party claims and reasonable costs directly resulting from such conduct. This clause does not require you to indemnify HR360 for HR360’s own unlawful conduct.
Privacy and communications
Personal information submitted through the website is handled in accordance with the HR360 Privacy Policy and applicable law. By providing contact details, you permit HR360 to send communications reasonably connected with your enquiry, application, hiring requirement or service relationship. Marketing communications will be handled in accordance with applicable consent and opt-out requirements.
Suspension or restriction
HR360 may restrict or suspend access to website functionality where reasonably necessary to protect security, investigate misuse, comply with law, enforce these Terms or protect HR360, candidates, clients or third parties. Rights and obligations that by their nature should survive termination—including intellectual property, accrued payment obligations, confidentiality, disclaimers and lawful liability provisions—will continue as applicable.
Governing law and disputes
Unless a separate written agreement states otherwise, these Terms and website use are governed by the laws of India. Subject to mandatory consumer or statutory jurisdiction rules that may apply, disputes relating solely to these website Terms will be subject to the competent courts having jurisdiction over HR360’s principal place of business in India.
Before commencing formal proceedings, the parties are encouraged to make a reasonable good-faith effort to resolve the dispute through written communication, except where urgent relief is required.
General legal provisions
If any provision is held invalid or unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions will continue in effect. A failure to enforce a provision on one occasion is not a waiver of future enforcement. Headings are for convenience only. These Terms do not create a partnership, agency, joint venture or employment relationship between a website user and HR360.
You may not transfer rights or obligations under these website Terms where doing so would prejudice HR360 or violate law. HR360 may reorganise its website operations or transfer applicable rights and obligations as part of a lawful corporate restructuring, subject to applicable law and contractual commitments.
Changes to these Terms
HR360 may update these Terms to reflect legal, operational, security or service changes. Updated Terms will be posted with a revised “Last updated” date. Changes apply prospectively from their effective date unless applicable law requires otherwise. Material changes may receive additional notice where appropriate.
